Terms of Service for SupplyScout

Welcome to SupplyScout!
These Terms of Service ("Terms") form a binding agreement between you ("you," "your," "Customer") and SupplyScout ("SupplyScout," "we," "us," "our"). They govern your access to and use of the SupplyScout website at https://supplyscout.ai, the SupplyScout web application at https://app.supplyscout.ai, our iOS and Android mobile applications, and all related services, features, and AI agents (collectively, the "Service").
By creating an account, subscribing, or otherwise using the Service, you agree to these Terms and to our Privacy Policy at https://supplyscout.ai/privacy-policy. If you are entering into these Terms on behalf of a business, you represent that you are authorized to bind that business, and "you" refers to that business.
1. Description of the Service
SupplyScout is a business-to-business software-as-a-service platform for restaurant procurement. The Service helps restaurants and food-service operators manage suppliers, products, recipes, and locations; capture and digitize invoices; reconcile invoices against orders and deliveries; monitor pricing; and receive supplier and purchasing recommendations. The Service includes autonomous and assistive AI agents ("Agents") that watch invoices, flag potential overcharges and anomalies, suggest alternative suppliers, and help prepare reorders. Some features integrate, at your direction, with third-party services you connect (for example, QuickBooks Online and Square).
2. Eligibility and Accounts
You must be at least 18 years old and able to form a binding contract to use the Service. You are responsible for the accuracy of the information you provide, for maintaining the confidentiality of your account credentials, and for all activity that occurs under your account. Notify us promptly at support@supplyscout.ai if you suspect any unauthorized use of your account.
3. Subscriptions, Billing, and Payment
3.1 Subscription Plans. The Service is offered on a subscription basis. The features, usage limits, and price of each plan are described at the point of purchase. By subscribing, you authorize us and our payment processor to charge the applicable fees for the plan you select.
3.2 Payment Processor. Subscription payments are processed by Stripe, our third-party payment processor. We do not store full payment-card numbers on our servers. Your use of payment features is also subject to Stripe's terms and privacy policy.
3.3 Recurring Billing and Renewal. Unless otherwise stated, subscriptions renew automatically at the end of each billing period (for example, monthly or annually) at the then-current rate, until cancelled. By subscribing, you authorize recurring charges to your payment method until you cancel.
3.4 Cancellation. You may cancel your subscription at any time through your account billing settings or by contacting support@supplyscout.ai. Cancellation stops future renewals; it takes effect at the end of the current billing period, and you retain access to paid features until that period ends.
3.5 Mobile App Purchases (External Payment). Purchases and subscriptions you make through the SupplyScout mobile applications are processed by Stripe outside of the Apple App Store and Google Play in-app purchase systems. Because these transactions are not made through Apple or Google in-app purchase, no app-store-mediated billing, refund, or dispute process applies to them. All billing, cancellation, and refund matters for mobile purchases are handled directly by SupplyScout under these Terms. Apple and Google are not parties to these Terms and are not responsible for the Service or for any purchase made through it.
3.6 Refunds. Except where required by applicable law, fees are non-refundable, and partial billing periods are not prorated. Any discretionary refunds or credits we may offer do not obligate us to provide the same in the future.
3.7 Taxes. Fees are exclusive of taxes. You are responsible for any sales, use, value-added, or similar taxes associated with your subscription, other than taxes based on our net income.
4. Acceptable Use
You agree not to: (a) use the Service in violation of any applicable law or regulation; (b) upload or transmit content that infringes the rights of others or that you do not have the right to provide; (c) attempt to gain unauthorized access to the Service, other accounts, or our systems; (d) interfere with or disrupt the integrity or performance of the Service; (e) reverse engineer, decompile, or attempt to derive the source code of the Service except to the extent permitted by law; (f) resell, sublicense, or provide the Service to third parties except as expressly permitted; or (g) use the Service to build a competing product or to scrape or harvest data at scale. We may suspend or terminate access for conduct that violates these Terms or that we reasonably believe harms the Service or other users.
5. AI Features and Agent Recommendations
The Service uses artificial intelligence, including third-party AI providers, to read invoices and documents, extract and reconcile line items, detect anomalies, score suppliers, and generate recommendations, alerts, briefings, and suggested reorders.
These outputs are advisory and recommend-only. Agent recommendations, price comparisons, anomaly flags, supplier scores, and suggested orders are informational aids, not guarantees of accuracy, savings, availability, or outcome. AI systems can be incomplete or incorrect, including misreading an invoice, miscalculating a total, or flagging or missing an anomaly.
You remain in control. No purchase, reorder, supplier change, or other consequential action is taken solely by an Agent without your direction or approval; you are responsible for reviewing and approving Agent-suggested actions before they take effect. You should independently verify figures, prices, and supplier information before relying on them for purchasing, accounting, tax, or other business decisions. SupplyScout is not your accountant, auditor, or financial advisor, and the Service does not constitute professional accounting, tax, legal, or financial advice.
6. Your Data and Content
6.1 Ownership. As between you and SupplyScout, you own all data and content you submit to the Service, including your business information, suppliers, products, recipes, invoices and uploaded invoice or document images, and purchase data ("Customer Data"). These Terms do not transfer ownership of Customer Data to us.
6.2 License to Operate the Service. You grant SupplyScout a worldwide, non-exclusive license to host, copy, process, transmit, and display Customer Data solely as necessary to provide, secure, maintain, and improve the Service for you, to enable features you use (including AI processing and integrations you connect), and as otherwise described in our Privacy Policy.
6.3 Third-Party Processing. To provide the Service, Customer Data may be processed by our service providers and sub-processors (for example, our hosting, AI, payment, and email providers) as described in our Privacy Policy. Where you connect a third-party integration such as QuickBooks Online or Square, you authorize SupplyScout to access and exchange the relevant data with that service on your behalf.
6.4 Export and Deletion. You may export your data and request deletion of your account through the Service or by contacting support@supplyscout.ai, subject to limited retention required for legal, security, or recordkeeping purposes.
7. Third-Party Services and Integrations
The Service may interoperate with third-party products and data sources you choose to connect or that we use to deliver features. Your use of those third-party services is governed by their own terms and privacy policies, and we are not responsible for their availability, accuracy, or practices.
8. Intellectual Property
The Service, including its software, design, text, and trademarks (but excluding Customer Data), is owned by SupplyScout or its licensors and is protected by intellectual-property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Service during your subscription for your internal business purposes. We may use aggregated and de-identified data that does not identify you or your business to operate and improve the Service.
9. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY AI OUTPUT, RECOMMENDATION, OR CALCULATION WILL BE ACCURATE OR COMPLETE. YOU USE THE SERVICE AT YOUR OWN RISK.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SUPPLYSCOUT AND ITS SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS, ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THIS INCLUDES, WITHOUT LIMITATION, ANY LOSS ARISING FROM RELIANCE ON AI OUTPUTS OR AGENT RECOMMENDATIONS. OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE AMOUNTS YOU PAID TO US FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.
11. Indemnification
You agree to indemnify and hold harmless SupplyScout and its officers, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your Customer Data, your use of the Service, or your violation of these Terms or applicable law.
12. Term and Termination
These Terms apply for as long as you use the Service. You may stop using the Service and cancel your subscription at any time. We may suspend or terminate your access if you breach these Terms, fail to pay applicable fees, or use the Service in a manner that may cause harm or legal liability. Upon termination, your right to use the Service ends; sections that by their nature should survive (including ownership, disclaimers, limitation of liability, and governing law) will survive.
13. Governing Law
These Terms are governed by the laws of the State of Florida, United States, without regard to its conflict-of-laws principles. You agree that any dispute arising out of or relating to these Terms or the Service will be subject to the exclusive jurisdiction of the state and federal courts located in Florida, except where applicable law requires otherwise.
14. Changes to the Terms
We may update these Terms from time to time. When we make material changes, we will update the "Last Updated" date above and may notify you by email or through the Service. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms. If you do not agree to the changes, you should stop using the Service.
